Terms of Service
The rules that govern your use of Digisetu Innovation Pvt. Ltd.'s services and platform. Written to be readable — but legally binding when you sign up or use our APIs.
Last updated: 1 January 2024 · Version 1.0
1. Acceptance
By signing up, accessing the Digisetu console, calling our APIs, or engaging us for any marketing, development or creative service, you (“Customer”) agree to be bound by these Terms of Service together with any signed Master Service Agreement, Order Form or Statement of Work.
2. Services
Digisetu provides: (a) communication APIs (WhatsApp, SMS, Voice, IVR, Email); (b) digital marketing services (SEO, ads, social, influencer, print); (c) development services (web, mobile, CRM); and (d) creative services (product photography). Specifics are described on this website and the order document you sign.
3. Acceptable use
You agree not to use our services to:
- Send spam, unsolicited bulk messages, phishing or fraudulent content.
- Violate TRAI, DLT or any other applicable telecommunications regulations.
- Send messages to recipients without their prior consent where consent is required.
- Distribute malware, adult content, hate speech, or content that infringes intellectual property.
- Reverse-engineer, scrape, or attempt to disrupt our infrastructure.
We may suspend or terminate your account for breach without prior notice in egregious cases.
4. Account and security
You are responsible for keeping your credentials, API keys and webhook secrets safe. Any activity under your account is deemed authorised by you. Notify us immediately at [email protected] if you suspect a compromise.
5. Fees and billing
Fees are set out in your Order Form or pricing page at the time of subscription. Billing is monthly in advance for retainers and pay-as-you-go for message/API consumption. All amounts are exclusive of GST. Invoices are due within 7 days of issuance unless otherwise agreed in writing.
6. Service levels & uptime
We target 99.95% monthly uptime for our communication APIs. Service credits for verified breaches are described in your MSA. Current and historical uptime is published at our status page.
7. Intellectual property
Digisetu retains ownership of its platform, APIs, dashboards and software. Customer retains ownership of customer data and content. Bespoke deliverables (websites, apps, creative assets) transfer to the customer upon full payment unless otherwise agreed in writing.
8. Confidentiality
Each party will protect the other’s confidential information with at least the same care it uses for its own — and no less than reasonable care. Confidentiality obligations survive termination by 3 years.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages. Aggregate liability under these terms will not exceed the fees paid by the customer to Digisetu in the 12 months preceding the event giving rise to the claim.
10. Termination
Either party may terminate for material breach not cured within 30 days of written notice. On termination, Digisetu will provide a 30-day data-export window and then delete or anonymise customer data per our Privacy Policy.
11. Governing law and disputes
These Terms are governed by the laws of India. Disputes will first be attempted to be resolved in good faith between the parties; failing which they will be subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan.
12. Changes to these terms
We may update these terms. Material changes will be notified to active customers by email at least 30 days in advance. Continued use after the effective date constitutes acceptance.
